Terms of Service for CycleCMS
1. Acceptance of Terms
By accessing or using CycleCMS, a cloud-hosted content management system, you agree to be bound by these Terms of Service ("TOS"). If you do not agree to these terms, please do not use our services.
2. User Conduct
You agree not to use CycleCMS to host, upload, share, or distribute any content that is illegal, pornographic, or offensive, as determined by CycleCMS in its sole discretion. You are responsible for ensuring that your content complies with all applicable laws and regulations.
3. Content Ownership
You retain all rights and ownership of the content you upload to CycleCMS. By uploading content, you represent and warrant that you have the legal right and authority to do so and that your content does not infringe upon the intellectual property rights, privacy rights, or any other legal rights of any third party. You are solely responsible for obtaining the necessary legal rights and permissions to use, share, and distribute your content. CycleCMS is not liable for any violations of laws or regulations resulting from your content or your use of CycleCMS. You agree to indemnify and hold harmless CycleCMS and its affiliates, officers, agents, and employees from any claim, suit, or action arising from or related to the use of the content you upload or your violation of these terms.
4. Limitation of Liability
CycleCMS is not responsible for any issues, damages, or losses that arise from your use of our services, including but not limited to data loss, system downtime, or security breaches. You acknowledge that you use CycleCMS at your own risk and that CycleCMS provides its services 'as is' without any warranties, express or implied.
In the event of a dispute arising out of or related to your use of CycleCMS, you agree to first attempt to resolve the matter amicably through direct communication with CycleCMS. If the dispute cannot be resolved through negotiation, you agree to submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the state of California, USA, and the decision of the arbitrator shall be final and binding. You waive any right to participate in a class action lawsuit or class-wide arbitration.
5. Termination
CycleCMS reserves the right to terminate your account for any reason, without notice. In the event of termination, we will provide a backup of your data.
6. Governing Law
These Terms of Service (TOS) and any disputes arising out of or related to these TOS or your use of CycleCMS shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law principles. Any legal action or proceeding relating to these TOS or your use of CycleCMS shall be brought exclusively in the federal or state courts located in California. You hereby consent to the jurisdiction and venue of such courts and waive any objections to such jurisdiction or venue.
7. Changes to Terms
CycleCMS reserves the right to modify these TOS at any time. We will notify you of any changes and your continued use of our services constitutes acceptance of the updated terms.
